Alumni Affiliate Agreement

By participating in the Startup Physicians Launchpad Alumni Affiliate Program (the “Program”), you (“Alumni Affiliate”) agree to the terms below. This Agreement is between you and Startup Physicians LLC (“Company”).

1. Program Overview

The Company offers educational programs, including The Startup Physician’s Launchpad (the “Program”). As an Alumni Affiliate, you may promote the Program using approved affiliate links and earn commissions on qualifying referrals.

2. Affiliate Relationship

• You are participating as an independent contractor, not an employee, partner, or agent of the Company.

• You are responsible for all taxes, expenses, insurance, and legal obligations related to your affiliate activities.

• You do not have authority to bind or represent the Company.

3. Promotion & Marketing Rules

• The Company will provide you with a unique affiliate link to track referrals.

• Referral cookies last approximately 30 days.

• You are responsible for using the correct tracking links.

• You may not:

  • Make misleading or false claims about the Program

  • Offer unauthorized discounts, rebates, or cash-back incentives

  • Represent yourself as an employee or owner of the Company

• All marketing must be honest, ethical, and compliant with applicable laws.

4. Commissions & Payments

• You will earn $250 for each qualifying sale tracked through your affiliate link.

• Net Revenue means amounts actually received by the Company, minus refunds, chargebacks, and payment processing fees.

• Commission attribution follows a first-click model.

• Payments are issued via Paypal, calculated monthly, and paid monthly, at the end of the month in which payment is received.

• The Company provides an affiliate dashboard for tracking referrals and commissions.

• The Company will also provide a coupon code to offer your friends $250 off their purchase.

5. Confidentiality & Intellectual Property

• Any non-public Company information is confidential and may not be shared.

• All Company trademarks, branding, course content, and materials remain the exclusive property of the Company.

• This Agreement does not grant you ownership or rights to Company intellectual property.

6. Non-Competition & Non-Solicitation

• You agree not to create or sell a directly competing course or program for one (1) year following termination.

• You may not actively solicit Company clients who are actively enrolled in paid programs at the time of termination for two (2) years.

• You may not solicit or hire Company employees or contractors for two (2) years without written consent.

• These restrictions do not apply to independent relationships initiated by the client.

7. Term & Termination

• This Agreement begins upon acceptance and continues until terminated.

• The Company may terminate participation at any time.

• You may terminate participation with two weeks’ written notice.

• Earned commissions on qualifying sales prior to termination will be paid per the standard payment schedule.

8. Disclaimers & Liability

• The Company makes no guarantees regarding earnings or sales volume.

• Each party agrees to indemnify the other against claims arising from their own actions.

9. Legal Terms

• This Agreement is governed by the laws of the State of Tennessee.

• If any provision is found invalid, the remainder remains in effect.

• This Agreement represents the entire agreement between the parties regarding the affiliate relationship.

• You have read and understand this Alumni Affiliate Agreement

• You agree to all terms and conditions

• You are legally permitted to participate in this Program
